This Affiliate Agreement (the "Agreement") is between Klvr Digital, a Delaware corporation ("we", "us"), which owns and operates SocialQd, and you, the person or business joining the SocialQd Affiliate Program ("you", "Affiliate"). By checking "I agree" and typing your name, you accept this Agreement. It takes effect when you accept it.
You must be at least 18, a U.S. person (a U.S. citizen, resident or U.S.-formed business) with a U.S. bank account that can receive ACH payments, and able to provide a valid Social Security Number or Employer Identification Number.
We may approve or decline any application, and may review your account at any time. You are responsible for keeping your account, bank and tax details accurate and up to date.
We give you a personal referral link. A customer is credited to you when they visit through your link and create a SocialQd account within 60 days on the same browser. Credit goes to the first affiliate whose link they used; we cannot credit referrals that clear their cookies, use another device or sign up without your link.
You may not refer yourself, your own accounts, or anyone signing up on your behalf, and you may not offer cash, rebates or other incentives in exchange for sign-ups unless we approve it in writing.
Tier 1: you earn 20% of the net subscription payments we actually receive from customers you refer, for the first 12 months after each customer signs up.
Tier 2: if another affiliate joins through your link, you also earn 5% of the net subscription payments from the customers they refer, for the same period.
"Net" means after refunds, chargebacks, credits, discounts and taxes. Commissions are not earned on refunded or charged-back payments; if a payment is refunded after you were paid for it, we may deduct that commission from future payouts.
We may change commission rates or the program for the future with at least 30 days' notice. Changes never reduce commissions you have already earned.
Commissions earned in a calendar month are paid on the 15th of the second month after that month. For example: January earnings are paid on March 15th, February earnings on April 15th, and March earnings on May 15th. If the 15th is a weekend or bank holiday, payment is sent on the next business day.
Minimum payout: $50.00 USD. If your balance on a payout date is less than $50.00, it carries over and is added to your next payout.
Payments are sent in U.S. dollars by ACH direct deposit to the U.S. bank account you provide. Please allow 1 to 3 business days for funds to arrive. We are not responsible for delays or losses caused by incorrect bank details you provided.
We can hold a payout while your bank, tax or agreement details are incomplete, or while we investigate suspected fraud or a breach of this Agreement.
You must provide accurate W-9 information (legal name, tax classification, address and Taxpayer Identification Number) before you can be paid. You certify that this information is correct.
You are an independent contractor responsible for your own taxes. Where required by law, we will issue you an IRS Form 1099-NEC (or other required form) for payments made to you in a calendar year, and we may withhold amounts the IRS requires us to withhold (for example, backup withholding if your TIN is missing or incorrect).
Promote SocialQd honestly. Do not make false or misleading claims about features, pricing, results or earnings, and do not present yourself as Klvr Digital or as an employee of Klvr Digital.
Clearly disclose your affiliate relationship wherever you share your link, as required by the U.S. Federal Trade Commission's Endorsement Guides (for example, "I earn a commission if you sign up through my link").
You may not: send unsolicited email or messages (spam); bid on "SocialQd" or close misspellings as search ads keywords; use our trademarks in your domain names, social handles or ad copy without written permission; place your link on sites with illegal, hateful, adult or deceptive content; use cookie stuffing, pop-ups, bots or any method that fakes or forces clicks or sign-ups.
You may use the SocialQd name and logos only as we provide them and only to promote SocialQd. We grant you a limited, revocable, non-exclusive license for that purpose.
We collect your bank and tax details only to pay you and to meet tax reporting duties. Taxpayer Identification Numbers and account numbers are encrypted when stored and only the last four digits are shown in SocialQd. We handle your information as described in our Privacy Policy.
Either of us may end this Agreement at any time, for any reason, with notice (you can do so by emailing us or closing your account).
If we end it for a breach, fraud or misuse, unpaid commissions are forfeited. Otherwise, commissions you earned before the end date are paid on the normal schedule once they reach the minimum.
You are an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship, and you may not make commitments on our behalf.
The program and SocialQd are provided "as is". To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or lost profits, and our total liability under this Agreement is limited to the commissions paid or payable to you in the 12 months before the claim.
You agree to cover any claims, losses or costs that result from your breach of this Agreement or from how you promote us.
We may update this Agreement. If we make a material change, we will tell you at least 30 days before it takes effect, and you will be asked to accept the new version. If you don't agree, you can leave the program.
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from it.
This Agreement, our Terms of Use and our Privacy Policy are the entire agreement about the program. If any part is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.
